These Terms of Service (“Terms”) govern your access to and use of the ExecOracle website and services at ExecOracle.com (the “Service”). By creating an account, starting a free trial, or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, do not use the Service.
1. Who we are
The Service is provided by AI Innovation Consultants (Pty) Ltd, registration number 2025/658156/07, trading as ExecOracle, a private company incorporated in South Africa with its registered address at 12 Orchard Street, Newlands, Cape Town, 7700, South Africa (“ExecOracle”, “we”, “us”, “our”).
2. Eligibility and business use
The Service is intended for professional, business use by individuals aged 18 years or older.
By using the Service, you confirm that you are at least 18 years old and have authority to bind yourself and/or the organisation you represent to these Terms.
You must comply with all applicable laws and internal policies when using the Service.
3. Account registration
To use ExecOracle you must:
Create an account with your name, surname, email address and password.
Keep your login details confidential and not share them with anyone else.
Promptly update your account information if it changes.
You are responsible for all activity that occurs under your account.
4. Subscriptions, free trial and payments
4.1 Free trial
We may offer a 7-day free trial for new users.
During the free trial you can use the Service without entering card details (unless we specify otherwise on the site).
We may change or withdraw any free trial offer at any time.
4.2 Subscriptions and auto-renewal
After the trial, continued access requires a paid subscription.
Subscriptions are billed in advance and automatically renew at the end of each billing period (for example, monthly) until cancelled.
You can cancel at any time via your account settings; cancellation takes effect at the end of the current billing period and we do not issue refunds for partial periods unless required by law.
4.3 Payments
Card payments are processed by Stripe or other third-party payment processors.
We do not store full card details on our systems.
You authorise us and our payment processors to charge applicable subscription fees and any taxes using your chosen payment method.
We may change prices or billing plans on prior notice, and changes will apply from your next renewal period.
5. Use of ExecOracle AI advisors
ExecOracle provides AI-powered advisory tools (including HR, Revenue Growth, Communications, Business Coach and Strategy GPTs) to help executives explore ideas and support decision making.
You understand and agree that:
The AI tools generate automated outputs based on patterns in data and prompts.
Outputs may be incorrect, incomplete, biased, outdated or otherwise unreliable and may “hallucinate” information.
The Service does not provide legal, financial, tax, HR, medical or other regulated professional advice.
All outputs must be reviewed and interpreted by a suitably qualified and responsible person before being relied on or used to make decisions.
6. No personal or confidential information in chat windows
The chat windows are not designed to process sensitive or identifiable personal data.
You must not enter into any chat window:
National ID numbers, passport numbers, tax numbers
Payment card or bank account details
Home addresses, phone numbers, or personal emails of identifiable individuals
Health information, information about children, or other special categories of personal information
Confidential information about identifiable employees, customers, suppliers or other individuals
If you choose to enter such information despite this warning:
You do so at your own risk.
You remain solely responsible for ensuring you have a lawful basis to process and disclose that information.
You agree that ExecOracle is not responsible for any resulting loss, damage or regulatory consequences.
We may delete or anonymise chat content that appears to contain personal or sensitive information, but we are not obligated to monitor or remove such content.
7. Acceptable use
You agree that you will not:
Use the Service for any unlawful purpose or in breach of any applicable law or regulation.
Attempt to gain unauthorised access to the Service or related systems.
Interfere with or disrupt the integrity or performance of the Service.
Upload or transmit malware, harmful code, or content that infringes intellectual property rights, privacy rights or other rights of any person.
Misrepresent that AI outputs are produced by a human professional or that they constitute formal professional advice.
We may suspend or terminate your account immediately if we believe you have breached these Terms or pose a security, legal or reputational risk.
8. Intellectual property
ExecOracle, including its design, underlying software, prompts, models, branding, logos and all related intellectual property rights, is owned or licensed by AI Innovation Consultants (Pty) Ltd.
Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service and to use AI outputs for your internal business purposes.
You may not:
Copy, modify, reverse engineer, decompile or attempt to discover the source code or underlying models of the Service, except where permitted by law.
Use outputs to build or train competing models or services.
Remove or alter any proprietary notices or branding.
9. User content
You may provide prompts, instructions and other content through the Service (“User Content”).
You retain ownership of your User Content.
You grant ExecOracle a worldwide, non-exclusive, royalty-free licence to use, host and process your User Content solely as necessary to provide and maintain the Service and as described in our Privacy Policy.
You warrant that you have all necessary rights and permissions to submit User Content and that it does not infringe any third-party rights.
We may remove or restrict access to User Content that we reasonably believe breaches these Terms or applicable law.
10. Data protection and privacy
Our processing of personal information is governed by our Privacy Policy, which forms part of these Terms and is available on ExecOracle.com.
By using the Service, you acknowledge that you have read and understood the Privacy Policy and agree to our processing of personal information in accordance with it.
11. Service availability and changes
We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation.
The Service may be unavailable or performance may be degraded due to maintenance, updates, outages at our vendors (including OpenAI and Stripe) or factors beyond our reasonable control.
We may modify, suspend or discontinue any part of the Service at any time, with or without notice, provided that we will not materially reduce core features of a paid plan during a billing period without reasonable notice.
12. Disclaimers
To the maximum extent permitted by law:
The Service and all AI outputs are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory.
We specifically disclaim any warranties of accuracy, completeness, fitness for a particular purpose, non-infringement, quiet enjoyment or reliability of any outputs.
ExecOracle does not guarantee any particular business, financial or operational outcome from use of the Service.
You are solely responsible for:
Evaluating and verifying AI outputs.
Obtaining any independent professional advice you consider necessary.
Decisions or actions you take based on the Service or outputs.
13. Limitation of liability
To the maximum extent permitted by law:
ExecOracle and its directors, employees and affiliates will not be liable for any indirect, consequential, incidental, special or punitive damages, or for loss of profit, revenue, business, data, goodwill or anticipated savings, arising out of or in connection with these Terms or your use of the Service.
Our total aggregate liability for all claims arising out of or relating to the Service and these Terms, whether in contract, delict (tort) or otherwise, is limited to the total subscription fees you paid to ExecOracle in the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
14. Indemnity
You agree to indemnify and hold harmless ExecOracle, its directors, employees and affiliates from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or in connection with:
Your breach of these Terms;
Your misuse of the Service or AI outputs; or
Your violation of any applicable law or third-party rights.
15. Term, suspension and termination
These Terms remain in effect while you have an account or otherwise use the Service.
We may:
Suspend or terminate your account or access to the Service at any time if you breach these Terms, fail to pay fees when due, or if we reasonably believe your use poses a risk to us, other users or third parties; and
Terminate the Service generally on reasonable notice.
You may cancel your subscription and close your account at any time via your account settings.
Upon termination:
Your right to access the Service ends; and
We may delete or disable access to your account and any associated data, subject to our retention obligations and rights described in the Privacy Policy.
16. Governing law and jurisdiction
These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by the laws of the Republic of South Africa, without giving effect to conflict of laws rules.
You agree that the courts of South Africa (and, where applicable, the Western Cape High Court) will have exclusive jurisdiction over such disputes, subject to any mandatory rights you may have under applicable law.
17. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms on ExecOracle.com and update the “Last updated” date above.
Your continued use of the Service after updated Terms take effect constitutes acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.
